Registration of legal entities

The legal entity must have an independent balance. Legal entities may be created by an individual or a legal entity, or by a combination of individuals and legal entities, may be based on membership, may or may not be members, or may not engage in entrepreneurial activities.

Legal entities can be created as commercial and non-commercial legal entities. While the main purpose of commercial legal entities is to make profits, the main purpose of non-profit legal entities is to have non-profit entities that do not distribute profits among the participants.

Commercial legal entities

The main purpose of commercial legal entities is to make a profit. Article 64 of the Civil Code states that economic partnerships and societies are commercial organizations with the charter capital distributed to the founders. Business partnerships can be created in the form of full partnerships or limited partnerships.

Non-commercial legal entities

Legal entities with non-profit organizations can be created in the form of public associations, funds, unions of legal entities, as well as in other forms stipulated by the legislation. Non-commercial legal entities may engage in entrepreneurial activities only if they serve to achieve the goals set during their creation and meet those goals.

State registration of legal entities

State registration of the legal entity by the relevant executive authority shall be carried out not later than 2 working days upon the request of the authorized person for this purpose after the legal act of the relevant executive authority or municipality comes into force.

The corporate income tax

The corporate income tax is determined by the Instruction on the Procedures for the Calculation and Payment of Profit Taxes of the Enterprises and Organizations. Generally, the difference between the taxpayer's income and its income is its profit. Income tax is called income tax.

According to the legislation of the Republic of Azerbaijan, corporate income taxpayers are businesses and organizations, including foreign investment enterprises established on the territory of the Republic of Azerbaijan, as well as international associations and organizations.

State registration of legal entities

The State Register of Legal Entities is a compilation of information about registered legal entities, representative offices or branches of foreign legal entities in the territory of the Republic of Azerbaijan, as well as representative offices and branches of other legal entities on the territory of the Republic of Azerbaijan.

Criminal liability of legal entities

The Criminal Code of Criminal Liability of Legal Entities defines several measures, including fines. Thus, according to Article 99-5 of the Criminal Code, legal measures are applied to legal entities, such as fines, special confiscation, deprivation of the right to engage in certain activities, and liquidation of a legal entity.
